This Amendment seeks to extend the existing Professional Services Agreement between Cowlitz County
and Nelita Wallingford dba Strengthening Foundations Counseling Services for the provision of
professional services to youth under the jurisdiction of the Cowlitz County Juvenile Department. Said
services are funded by grants from the Department of Social and Health Services Juvenile
Administration.

AMENDMENT NO. 1 to Professional Services Agreement between COWLITZ
COUNTY and Nelita Wallingford dba Strengthening Foundations Counseling
Services.
1. This is Amendment No. 1 to Agreement is between Cowlitz County, Washington,
COWLITZ "), and (CONTRACTOR) shall take effect and be in force on the 15' day of July,
2017.
2. COWLITZ AND CONTRACTOR have entered into an Professional Services Agreement for
juvenile services, to wit: AGREEMENT FOR FUNCTIONAL FAMILY SERVICES, effective
July 1, 2013 (the "Original Agreement ").
3. COWLITZ is now in need of continuing or modifying the Agreement with CONTRACTOR
under the Original Agreement, as set forth herein, and CONTRACTOR is amendable to this
amendment in providing Functional Family Services to COWLITZ, under the same terms
and conditions of the Original Agreement.
NOW THEREFORE, the Parties agree as follows:
The Original Agreement is amended as follows:
a. The term of this Agreement is amended and shall commence on the V day of July,
2017, and shall unless terminated earlier as provided elsewhere in the Original
Agreement, terminate on the 30`n day of June 2021.
b. Attachment B "COMPENSATION" is amended to read as follows:

Except as provided above in this Amendment No. 1, all terms, conditions, duties,
obligations and provisions of the Original Agreement and any prior Amendment(s) shall
remain in full force and effect.
3. The parties hereto have executed this Amendment No. 1 and each signatory to this
Amendment No. 1 warrants that he /she is duly authorized and executes this Amendment
for and on behalf of the below- inscribed parties hereto.

PROFESSIONAL SERVICES AGREEMENT FIRST AMENDED ATTACHMENT B
COMPENSATION
1. The Contractor shall be paid as follows:
2,600.00 per successfully completed referred case as defined by FFT, Inc. for services
as described in the Statement of Work, including:
a. Face to Face contact;
b. Phone Contact;
c. Collateral contact for youth and families;
d. Travel;
e. Consultation; and
f. Report writing
Cancelled appointments will be rescheduled by the Contractor and client at the earliest
date possible.
The Contractor will bill Cowlitz County $2,600.00 after each referred case that
successfully completes all phases of the FFT intervention. In the event of completion of
a phase but the referred is unable to continue the intervention, the complete phase
shall be paid as follows:
a. Engagement and Motivation $866.66
b. Behavioral Change $866.66
c. Completion of Case $866.66
d. $216.66 per completed week for interventions that are terminated prior to
the successful completion as defined by FFT, Inc. for services described in the
State of Work, including those items noted in (1) above. Additionally, this
rate will apply to interventions that are incomplete at the termination of this
Agreement.
The Contractor shall not be reimbursed for daily operation costs, such as office supplies,
telephones, vehicle expenses and copying.
The Contractor shall ensure that work to be performed does not duplicate work to be
charged to Cowlitz County under any other contract or agreement with the Contractor.
If the Contractor bills and is paid fees for services that Cowlitz County later finds were
a) not delivered or (b) not delivered in accordance with applicable standards, Cowlitz
County shall recover the fees for those services and the Contractor shall fully cooperate
during the recovery.
2. Billing and Payment
The Contractor shall submit an invoice Voucher to the Cowlitz County Juvenile Court
after the successful completion of each intervention phase, or at the time it is
determined that a family /case will be discontinued, or at the end of the fiscal period.
Cowlitz County shall pay the Contractor upon acceptance of a properly completed
invoice voucher. The invoice shall describe and document the following:
a. Date and time period of service(s) performed;
b. Name(s)ofjuvenile(s);and
c. Phase complete and date completed
Payment shall be considered timely if made by Cowlitz County within 30 days after the
receipt of the properly completed invoice.
The Contractor accepts the Cowlitz County payment as the sole and complete payment
for the services provided under this contract.
Cowlitz County shall not reimburse the Contractor for authorized services not provided
to clients, or for services which are not authorized or provided in accordance with the
Scope of Work". If Cowlitz County pays the Contractor for service authorized but not
provided by the Contractor in accordance with the "Scope of Work ", the amount paid
shall be considered to be an overpayment.
If this Agreement is terminated for any reason, Cowlitz County shall pay for only those
services authorized and provided through the date of termination.
